Section 1: Acceptance of Terms

The Terms of Service ("Terms") you are reading are a legally binding agreement that governs the relationship between Meme Inc. ("Meme") and yourself ("you") and your use of Meme’s products and social games for the web, mobile or any other applicable devices (the “Service”). By accessing or using Meme’s Services you agree that you have read, understood, accept and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. In these Terms, “Meme” also refers to its affiliates. Meme is located in the United States. You agree to resolve all disputes arising from these Terms or the Service in the courts in the United States.

THE SERVICE IS STRICTLY FOR AMUSEMENT PURPOSES ONLY. YOU MUST BE 21 YEARS OF AGE OR OLDER TO USE THE SERVICE. THE SERVICE DOES NOT OFFER REAL MONEY GAMBLING OR AN OPPORTUNITY TO WIN REAL MONEY OR PRIZES.

THIS SERVICE IS NOT AVAILABLE IN THE STATE OF WASHINGTON. PLEASE SEE BELOW SECTION 12 FOR ADDITIONAL TERMS.

Meme reserves the right to revise or modify these Terms at any time by posting the amended Terms on or within the Service, and you agree to be bound by such revisions.

Section 2: Account Information

To access or play our games you may create an account with Meme (an “Account”). You may need to allow us to access your account information from a social network service (“Login Information”). The following rules govern the security of your Account and Login Information:

  1. You shall not share your Account or Login Information.
  2. Notify Meme immediately of any breach of security.
  3. You are solely responsible for maintaining the confidentiality of the Login Information.
  4. Monitor your Account to restrict use by minors.
  5. You shall not have more than one Account per platform.

Section 3: License

Subject to your agreement and compliance with these Terms, Meme grants you a personal, non-exclusive, non-transferable license to access and use the Service for your own, private, non-commercial entertainment purposes.

Section 4: Account Termination

Meme may refuse access to the Service or may limit, suspend, modify, delete, or terminate your Account without notice for any reason, including suspected violation of the Terms. You may lose access to your Account, and Meme is under no obligation to compensate you for any such losses.

Section 5: Virtual Currencies and Goods

The Service may include an opportunity to earn or purchase virtual, in-game currency. A certain number of Coins will be made available when you log into the Service. Coins and other Virtual Items are licensed to you for your use through the Service. Virtual Items can never be redeemed for real money.

Section 6: Rules of Conduct and Usage

You agree that your use of the Service shall be lawful and you will comply with all applicable laws. You shall not:

  • Create an Account if you are under the age of 21.
  • Upload, post, or transmit offensive material.
  • Use bots or software programs to defraud.
  • Attempt to obtain private information from others.

Section 7: Intellectual Property (IP) Ownership

Meme retains all rights in the Service materials and these materials may not be used by you for any purpose without express written permission from Meme.

If you believe your copyright has been violated within the Services, please provide our Copyright Agent with specific details outlined in this section.

Section 9: Promotions, Contests, Sweepstakes and Offers

We may offer limited-time promotions. Acceptance of any Offer constitutes your consent to Meme’s use of your name and likeness.

Section 10: Third Party Websites and Advertising

Meme makes no representation or warranty regarding any content, goods, or services provided by third parties.

Section 11: Privacy Policy

Use of the Service is governed by Meme's Privacy Policy, which is incorporated herein by reference.

Section 12: Service Not Available in Certain States

Use of the Service is not available in the state of Washington.

Section 13: Disclaimer of Warranty; Limitation of Liability

Your use of the Service is at your sole risk and is provided on an "as is" basis. Meme disclaims all warranties to the fullest extent permitted by law.

Section 14: Governing Law, Dispute Resolution, Binding Arbitration

These Terms shall be governed by the laws of the United States. You and Meme agree to resolve all disputes between us in individual binding arbitration.

Section 15: General

These Terms constitute the entire agreement between you and Meme. You agree that if any portion of the Terms is found illegal or unenforceable, that provision shall be ineffective without affecting the validity of the remaining Terms.
